Terms of Service

1. Parties & acceptance.

These Terms of Service (the "Terms") are a binding legal agreement between you (whether a "Talent", "Employer", "Training Partner", or "Visitor") and RRJ — the Rwanda Remote Jobs, operated by RRJ Ltd, a company registered in the Republic of Rwanda with offices in Kigali ("RRJ", "we", "us", or "our").

By accessing the RRJ website, creating an account, submitting a job, using our job search, registering for training, or otherwise using any part of the RRJ service (collectively, the "Service"), you confirm that you have read, understood, and unconditionally agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part, you may not access or use the Service.

2. Description of RRJ services.

RRJ operates a technology platform and program that connects Rwandan professionals seeking remote work ("Talent") with organizations seeking to hire such talent remotely ("Employers"), supported by training, certification, and partner programs. The Service includes, among other things:

• Professional Talent profiles and skills certification programs.
• Employer accounts, job posting tools, and candidate search and matching.
• Online training programs, assessments, examinations, and RRJ-branded certifications.
• Messaging, application tracking, and reporting tools.
• Support services for Talent, Employers, and Partners.

All features are provided "as available" and may be modified, improved, suspended, or discontinued at RRJ's discretion — in which case paid users will be pro-rated where applicable.

3. Accounts & eligibility.

3.1 Eligibility.

You must be at least 18 years old (or the age of majority in your jurisdiction) and have full legal capacity to enter into contracts to use the RRJ Service. Employers must be legally registered entities able to enter binding employment or service relationships; Training Partners must be authorized to deliver training in their jurisdiction.

3.2 Account creation.

When creating an account, you agree to:

• Provide accurate, current, and complete information — including legal name, contact details, and professional identity.
• Maintain and promptly update your account information.
• Protect the confidentiality of your login credentials and accept responsibility for all activity under your account.
• Immediately notify RRJ of any unauthorized account access or security breach.

RRJ reserves the right to verify account details, including identity, company registration, and professional references, at any time. We may reject or suspend any registration for any lawful reason.

4. User responsibilities & acceptable use.

4.1 Talent responsibilities.

Talent users of RRJ are expected to:

• Only include true, verifiable skills, education, and work experience on profiles and CVs.
• Apply only for jobs they are genuinely interested in and reasonably qualified for.
• Honor interview commitments, and respond to RRJ and employers in a timely manner.
• Comply with the terms of any employment or service agreement entered into with an Employer found through RRJ.

4.2 Employer responsibilities.

Employers using RRJ are expected to:

• Post only real, lawful, clearly-described remote or hybrid positions that the Employer genuinely intends to fill.
• Not charge Talent any fees, deposits, or payments at any point in the hiring process.
• Offer employment terms and conditions that comply with applicable law, including compensation, benefits, and working conditions.
• Respect Talent privacy and only use profile information for legitimate, specific hiring purposes.
• Notify RRJ when roles are filled, withdrawn, or materially changed.

4.3 Training Partner responsibilities.

Partners delivering RRJ-certified programs agree to deliver approved curricula at the documented quality standard, protect student data, and report progress, outcomes, and concerns honestly.

5. Content, conduct & prohibited activities.

5.1 User content.

Any material you upload, submit, or post to the Service — profiles, CVs, job descriptions, course content, messages, comments, and files ("User Content") — remains your responsibility. By submitting it, you grant RRJ a worldwide, non-exclusive, royalty-free, sub-licensable license to host, display, process, match, and communicate that User Content as reasonably necessary to operate the Service and fulfill the purposes described in these Terms and our Privacy Policy.

5.2 Prohibited conduct and content.

You may not use the RRJ Service to:

• Violate any applicable law, regulation, court order, or third-party right (including copyright, trademark, privacy, or employment law).
• Publish content that is false, deceptive, discriminatory, harassing, hateful, sexual, violent, or otherwise objectionable as reasonably determined by RRJ.
• Engage in fraud, impersonation, scams, pyramid schemes, unsolicited commercial messages, or money solicitation of any kind.
• Attempt to bypass RRJ matching, payment, or contract systems by encouraging Talent or Employers to communicate or hire off-platform to avoid RRJ fees or processes.
• Scrape, crawl, copy, or systematically extract data from the Service without written RRJ permission.
• Interfere with the security, integrity, or performance of the Service — including vulnerability testing, malware distribution, DDoS, credential stuffing, or unauthorized API access.

Violations may result in immediate account suspension, referral to relevant authorities, and — where appropriate — legal action.

6. Fees, plans & payments.

6.1 Talent services.

RRJ Talent accounts are free of charge. Certification programs and advanced training tracks may have subsidized or partner-funded fees; where such fees apply, they will be disclosed clearly before enrollment with a payment schedule and refund policy.

6.2 Employer & Partner pricing.

Select Employer features (additional seats, job post volume, talent sourcing, volume matching, onboarding support, and enterprise tools) are provided under paid subscription plans described on our website or in a separate written agreement.

All amounts are exclusive of VAT or other taxes, which you are responsible for paying if applicable. Fees are non-refundable except where explicitly stated or required by Rwandan law. You agree to provide current, complete, and accurate billing information and authorize RRJ (or our payment processor) to charge your selected payment method.

6.3 Subscriptions, downgrades, renewals.

Paid RRJ subscriptions renew automatically at the end of each billing period unless you cancel before renewal. Cancellations or downgrades take effect at the end of the current billing period — you will continue to have access until then. You remain responsible for all fees accrued before cancellation. If RRJ materially changes your paid plan features, you will receive at least 30 days' written notice and the right to downgrade or cancel without penalty.

7. Confidentiality & NDAs.

RRJ respects the confidentiality of information shared with us by Talent, Employers, and Partners. Each party agrees not to disclose the other party's confidential information (including, for Employers, candidate personal data; and for Talent, employer interview details) except as required by these Terms, with explicit written consent, or by law. If you require a formal NDA for specific content, please contact partnerships@rrji.rw and we will provide RRJ's standard mutual NDA on request.

8. Intellectual property.

8.1 RRJ intellectual property.

The RRJ Service — including its source code, platform design, logos, word marks, training curricula, assessment materials, certification frameworks, documentation, and all underlying content — is owned by RRJ or our licensors and is protected by copyright, trademark, and other intellectual property laws of Rwanda and other countries. You may not copy, reproduce, modify, distribute, sell, rent, license, sublicense, or create derivative works of any RRJ intellectual property without explicit written permission.

8.2 RRJ Certifications.

RRJ-issued certifications are revocable, non-transferable credentials indicating successful completion of RRJ assessment standards at a specific time. They are not formal academic degrees, and RRJ reserves the right to revoke or suspend any certification in cases of fraud, plagiarism, violation of the RRJ code of conduct, or material changes to certification standards.

8.3 Third-party IP.

Content from RRJ partners, employers, or third-party websites (e.g., embedded videos, logos, job descriptions) remains the property of its respective owners and is used on the Service with permission or as allowed by law.

9. Platform availability & third-party links.

RRJ uses commercially reasonable efforts to keep the Service available 24/7. However, scheduled maintenance, unscheduled downtime, force majeure events, or third-party service provider outages may occur. RRJ does not guarantee uninterrupted, error-free, or virus-free operation, or that any defect will be corrected within a specific timeframe.

The Service may contain links to external websites or platforms operated by third parties. RRJ does not endorse, control, or accept responsibility for the content, privacy practices, or conduct of such sites. Accessing them is entirely at your own risk.

10. Disclaimers & no guarantees.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, RRJ and its directors, officers, employees, partners, agents, and suppliers disclaim all warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, title, quality, accuracy, and availability.

Specifically (but without limitation), RRJ does not guarantee that:

• Any Talent will receive a job offer or be hired.
• Any Employer will find or successfully hire a suitable candidate.
• Certification, training, or profile completion guarantees any income, salary, or placement outcome.
• Any user content or profile information submitted by Talent or Employers is accurate, truthful, or reliable — though RRJ undertakes reasonable verification processes as described in our policies.

11. Limitation of liability.

To the maximum extent permitted by Rwandan law and any other applicable law:

1. Neither party shall be liable to the other for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, lost savings, business interruption, or reputation harm — regardless of the theory of liability (contract, tort, negligence, or otherwise), even if advised of the possibility of such damages.
2. RRJ's total aggregate liability for all claims arising out of or relating to these Terms or your use of the Service — in any 12-month period — shall not exceed the greater of (a) the total amounts actually paid by you to RRJ in the 12 months before the claim first arose, or (b) fifty thousand Rwandan Francs (RWF 50,000).
3. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

12. Indemnification.

You agree to defend, indemnify, and hold RRJ (and its affiliates, directors, officers, employees, partners, and agents) harmless from and against any and all claims, lawsuits, proceedings, liabilities, losses, damages, fines, settlements, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your breach of these Terms or the RRJ Privacy Policy.
• Your User Content, including infringement of third-party intellectual property rights, defamation, or privacy violations.
• Your use of the Service, including your interactions with Talent, Employers, or Partners.
• Any employment or service relationship formed between Talent and Employer using or referenced through RRJ — including payroll, tax, immigration, discrimination, harassment, wrongful termination, or workplace injury claims.

13. Termination.

13.1 By you.

You may close your RRJ account at any time through your account settings, or by contacting support@rrji.rw. Account closure takes effect upon confirmation. Your ongoing obligations under Sections 7, 8, 10, 11, 12, and 14-16 survive termination indefinitely.

13.2 By RRJ.

RRJ may suspend or terminate your account and/or your access to the Service at any time, with or without cause and with or without prior notice, if we reasonably believe you have violated these Terms, committed fraud or misuse, or if your continued use creates legal, reputational, or operational risk for RRJ or our users. Where lawful and practicable, we will provide notice and an opportunity to appeal before permanent removal.

13.3 Effect of termination.

Upon account termination or suspension, you may no longer access the Service, your profile may be removed from public listings, and pending applications or job posts may be cancelled. Unless legally prohibited, RRJ may retain necessary personal data for the retention periods defined in our Privacy Policy.

14. Dispute resolution.

14.1 Informal resolution first.

Before initiating formal proceedings, you and RRJ agree to first attempt to resolve any dispute, difference, or claim in good faith for at least thirty (30) calendar days. Please raise issues in writing to legal@rrji.rw, and a member of the RRJ team will respond within ten (10) business days.

14.2 Mediation & arbitration.

If informal resolution fails, either party may submit the dispute to binding mediation in Kigali before a mutually agreed, accredited mediator. If mediation does not conclude within sixty (60) days, disputes shall be finally settled by binding arbitration administered by the Kigali International Arbitration Centre (KIAC) under its Arbitration Rules then in force — in the English language, with one (1) arbitrator and seat in Kigali, Rwanda. Nothing in this Section shall prevent either party from seeking urgent interim or injunctive relief from the competent courts of Rwanda.

14.3 Governing law & jurisdiction.

These Terms and any non-arbitrable dispute are governed by and construed in accordance with the substantive laws of the Republic of Rwanda, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Rwanda for any matter not subject to arbitration.

15. General provisions.

• Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and RRJ. RRJ is not an employer of Talent and is not an employee, agent, or recruiter of any Employer unless explicitly stated in a separate written agreement.
• Severability. If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be reformed to the maximum extent permissible to achieve the parties' intent.
• No waiver. Any delay or failure by RRJ to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver is only valid if in writing and signed by an authorized RRJ representative.
• Assignment. You may not assign or transfer these Terms or your rights hereunder without RRJ's written consent. RRJ may assign these Terms (in whole or in part) in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all assets.
• Notices. All formal notices to RRJ must be in writing and delivered by email to legal@rrji.rw or by registered post to our registered address. Notices to you will be delivered to the email address associated with your account and are deemed received 24 hours after sending.
• Amendments. RRJ may update these Terms from time to time. Material changes take effect 30 days after announcement (by prominent website notice and/or email to registered users). Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. We will not retroactively reduce your rights or increase your obligations under these Terms without your explicit consent where required by law.
• Entire agreement. These Terms (together with the Privacy Policy, any applicable subscription or partner agreement, and any RRJ policy incorporated by reference) constitute the entire agreement between you and RRJ concerning the Service and supersede all prior oral or written understandings on that subject.
